Availability of Agreement on Websites of Shell and BG 

On 8 April 2015, Royal Dutch Shell plc (NYSE:  RDS.A) (NYSE:  RDS.B) (“Shell“) and BG Group plc (“BG“) announced the terms of the recommended cash and share offer to be made by Shell for the entire issued and to be issued share capital of BG (the “Combination“).

In connection with the implementation of the Combination, Shell and BG (together with their legal counsel, Slaughter and May and Freshfields Bruckhaus Deringer LLP respectively) entered into an agreement on 13 May 2015 which provides for the protection of certain commercially sensitive information which is shared between BG and Shell and their legal counsel for the purposes of preparing any antitrust or regulatory filings (the “Agreement“). read more

Shell E&P Ireland is author of one of eight objections submitted to the Environmental Protection Agency (EPA) over a revised emissions licence for the Corrib gas project. Seven other valid objections to the revised licence include two requests for an oral hearing which the EPA says its board will consider “at a future date”. read more

SEATTLE (AP) — Royal Dutch Shell is forging ahead with plans to park two Arctic oil drilling rigs in Seattle, risking possible fines from the city and ignoring port commissioners who have asked Shell to wait.

Shell’s plan to move the two rigs to Seattle in coming days sets up a showdown between environmentalists and oil exploration advocates and touches off a wider debate about climate change and whether the nation should tap oil and gas reserves in the icy, remote Arctic Ocean off Alaska’s coast. read more

New Year’s Eve 2012 is a date Lieutenant Commander Jim Cooley will never forget. As part of the rescue team from the US Coast Guard he flew out in treacherous, stormy conditions to rescue 18 men aboard Royal Dutch Shell’s stranded Kulluk oil rig.

Earlier that winter another drilling rig in Shell’s fleet, the Noble Discoverer, nearly ran aground and was towed to port after experiencing vibrations in a propeller shaft.

The giant, perfectly round, steel Kulluk rig which crew were forced to abandon, was eventually towed to safety in a nearby bay. No oil was spilled but the two incidents were a PR disaster for Shell in such a region. They led to the oil major abandoning its Arctic plans entirely for the next two years and environment protestors issued a collective sigh of relief. read more

Shell to Seattle: Oil drill rigs are coming

Royal Dutch Shell says it has a valid lease for Seattle terminal space and a tight timeline to prepare its fleet for exploratory oil drilling in Arctic waters so it plans to move its drill rigs to this city despite the protests of activists and a port commission request that it wait.

About a dozen activists in kayaks met one of the two drill rigs as the 514-foot-long Noble Discoverer arrived Tuesday evening in Everett, north of here, on its way to Seattle.

A second drill rig, the 400-foot-long Polar Pioneer, has been parked in Port Angeles, on the Olympic Peninsula, but is expected to arrive in Seattle later this week. That event is expected to draw larger protests. read more
